Terms of Service

Welcome to Diglora Lab. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "User," "you") and Diglora Lab ("Diglora Lab," "we," "us," "our"), a visual design studio operating at 695 S Colorado Blvd, Denver, CO 80246. By accessing our website, submitting a project inquiry, purchasing any service, or receiving any deliverable from Diglora Lab, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our services.

Important: These Terms govern all design services, digital deliverables, project engagements, and any interaction between you and Diglora Lab — regardless of how that interaction is initiated (website, email, direct communication, or third-party platform).

1. Services Provided

Diglora Lab provides professional visual design services exclusively in digital format. Our service offerings include, but are not limited to:

  • Brand identity design — logomarks, wordmarks, symbol design, and complete visual identity systems
  • Graphic design for social media platforms — posts, story formats, highlight covers, campaign banners, and advertising creatives
  • User interface elements and full website layout mockups and visual prototypes
  • Product listing visuals and infographic design for e-commerce platforms including but not limited to Amazon, Shopify, Etsy, and Walmart Marketplace
  • Presentation design — pitch decks, corporate reports, and branded document templates
  • Visual style guides and brand standards documentation
  • Professional image editing, retouching, background removal, and color grading
  • Digital asset preparation, optimization, and export for web and digital deployment

All services are delivered digitally via file transfer, email, or agreed-upon delivery platform. Diglora Lab does not provide printing services, physical product delivery, or in-person consultations as a standard service offering. Any exceptions must be agreed upon in writing prior to project commencement.

2. Project Engagement & Scope

2.1 Project Initiation

A project is formally initiated when both parties have agreed upon the scope of work, deliverables, timeline, and pricing. This agreement may be formalized through a written proposal, order confirmation, or email exchange. Submission of a contact form or project brief does not constitute a binding agreement; a project begins only when both parties have explicitly confirmed the engagement terms.

2.2 Scope Definition

The scope of each project will be defined in the project brief, proposal, or order summary provided prior to project commencement. Any work requested outside the agreed scope ("out-of-scope work") may be subject to additional fees. We will notify you before undertaking any out-of-scope work and provide a revised estimate for your approval.

2.3 Client Responsibilities

To ensure timely and accurate delivery, you agree to:

  • Provide complete, accurate, and detailed project briefs including all necessary materials, references, brand guidelines, copy, and assets
  • Respond to design review requests and provide consolidated feedback within the agreed timeframe (typically 3–5 business days per review round)
  • Ensure all materials you provide are owned by you or that you have the legal right to use them in the context of the project
  • Designate a single point of contact for project communication to prevent conflicting direction
  • Notify Diglora Lab of any changes to project requirements, timelines, or business context that may affect the design work

2.4 Project Timeline

All timelines provided by Diglora Lab are estimates based on the information available at the time of agreement. Timelines are contingent upon timely receipt of all required client materials and prompt feedback during review rounds. Delays caused by late feedback, incomplete brief materials, or scope changes will extend the delivery timeline accordingly. Diglora Lab is not liable for project delays arising from client-side factors.

3. Intellectual Property & Ownership

3.1 Transfer of Rights

Upon receipt of full payment for a completed project, Diglora Lab transfers to the Client full commercial usage rights to the final, approved deliverables. This transfer applies exclusively to the final delivered files and does not include preliminary concepts, unused design directions, working files, source documents, proprietary templates, or design systems developed by Diglora Lab independently of the project.

3.2 Retained Rights

Diglora Lab retains the right to display completed project work in its portfolio, marketing materials, case studies, and social media — unless the Client requests confidentiality in writing prior to project completion. Diglora Lab retains all rights to preliminary and unused concepts, design elements developed prior to the project, proprietary workflows, and custom-built template systems.

3.3 Third-Party Assets

When stock photography, illustration, icon sets, font licenses, or other third-party assets are incorporated into the deliverable, the Client is responsible for ensuring that appropriate licenses are obtained for their intended use. Diglora Lab may use licensed assets in mock-up presentations for review purposes, but the final deliverable will use only assets the Client owns or has properly licensed unless otherwise agreed. Any licensing costs for third-party assets are not included in Diglora Lab's service fees unless explicitly stated.

3.4 Fonts

Typography used in designs may be subject to separate licensing requirements depending on the font foundry and intended use (web, print, broadcast, app). Clients are responsible for obtaining and maintaining appropriate font licenses for commercial deployment of delivered designs. Diglora Lab will provide font credits and recommendations as part of the project delivery documentation.

4. Payment Terms

4.1 Pricing

All fees are agreed upon in writing prior to project commencement. Prices are stated in US Dollars (USD) and are subject to change for new engagements. Existing confirmed engagements will honor the originally agreed pricing.

4.2 Payment Schedule

Standard payment terms vary by project size:

  • Projects under $500: Full payment required prior to project commencement
  • Projects $500–$2,000: 50% deposit required upfront; remaining balance due upon final delivery approval
  • Projects over $2,000: Payment schedule to be agreed upon in the project proposal; typically 40% deposit, 40% at design presentation, 20% on final delivery

4.3 Late Payments

Final deliverable files will not be transferred until all outstanding balances are settled in full. If a payment is not received within 14 days of the invoice due date, Diglora Lab reserves the right to suspend project work and charge a late fee of 1.5% per month on outstanding balances. Repeated non-payment may result in project cancellation and forfeiture of any deposit paid.

4.4 Taxes

Clients are responsible for all applicable taxes, duties, and fees in their jurisdiction. Diglora Lab will collect applicable sales tax where legally required.

5. Revisions & Feedback

Each service package includes a defined number of revision rounds as specified in the project proposal or service description. A revision round is defined as one consolidated set of feedback submitted by the Client in a single communication. Diglora Lab will implement reasonable revisions that fall within the original project scope. Revisions that alter the fundamental concept, brand direction, or constitute a significant change in scope will be quoted separately as additional work.

Requests for changes after final approval of a deliverable — including changes to previously approved elements — may be subject to additional fees as new project work.

6. Confidentiality

Diglora Lab agrees to keep all proprietary business information, unreleased product details, and confidential materials shared by the Client in strict confidence. This obligation does not apply to information that is already publicly available, independently developed by Diglora Lab, or required to be disclosed by law. Clients who require a formal Non-Disclosure Agreement (NDA) before sharing sensitive materials should notify Diglora Lab prior to project initiation, and we will accommodate this request.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Diglora Lab's total liability to you for any claims arising from or related to our services shall not exceed the total amount paid by you to Diglora Lab in connection with the specific project giving rise to the claim in the three (3) months preceding the event. Diglora Lab shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of business, data loss, reputational harm, or market loss, even if Diglora Lab has been advised of the possibility of such damages.

Diglora Lab provides design services "as is" and "as available." We make no warranties regarding the commercial success, conversion rate, engagement performance, or market reception of any design work delivered. Design outcomes depend on many factors outside our control.

8. Indemnification

You agree to indemnify, defend, and hold harmless Diglora Lab and its employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your use of the delivered work; your violation of these Terms; materials or content you provided that infringe third-party intellectual property rights; your violation of any applicable law or regulation; or any unauthorized modification or use of the delivered design files.

9. Termination

9.1 Termination by Client

You may terminate a project engagement at any time by providing written notice to Diglora Lab. In the event of client-initiated termination, all work completed up to the point of termination will be invoiced at a pro-rated rate based on time and effort invested. Any deposit paid is non-refundable once design work has commenced. Partially completed deliverables will not be transferred until any outstanding balance is settled.

9.2 Termination by Diglora Lab

Diglora Lab reserves the right to terminate a project engagement in the event of: non-payment or repeated late payment; failure to provide necessary materials or feedback within an unreasonably extended timeframe; requests to produce content that is illegal, unethical, or violates third-party rights; or communication or conduct by the Client that is abusive or unprofessional. In the event of termination by Diglora Lab due to Client-side reasons, any deposits paid will be forfeited and any outstanding balances for work completed will remain due.

10. Acceptable Use

You agree not to use Diglora Lab's services to create designs that: infringe upon the intellectual property rights of any third party; depict, promote, or facilitate illegal activity; contain defamatory, discriminatory, harassing, or abusive content; violate any applicable law, regulation, or platform terms of service; impersonate another person, brand, or organization without authorization. Diglora Lab reserves the right to refuse any project that conflicts with our professional or ethical standards, at our sole discretion.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the services provided by Diglora Lab shall first be addressed through good-faith negotiation. If the parties are unable to resolve the dispute through negotiation within 30 days, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Denver, Colorado. Each party shall bear its own costs in arbitration unless the arbitrator awards otherwise. Notwithstanding the foregoing, Diglora Lab may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

12. Modifications to Terms

Diglora Lab reserves the right to update, modify, or replace these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of our services following any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. If you disagree with revised Terms, you must discontinue use of our services.

13. Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from the remaining Terms and shall not affect the validity and enforceability of the remaining provisions. These Terms, together with any project proposal, service agreement, or order confirmation, constitute the entire agreement between you and Diglora Lab regarding the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings.

14. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Diglora Lab's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
